1. Acceptance of Terms
By accessing or using the learning management platform provided by Cohby Consulting Services ("we", "us", "our"), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of an organisation, you represent that you have the authority to bind that entity to these terms.
2. User Accounts and Platform License
Subject to compliance with these terms, we grant you a limited, non-exclusive, non-transferable license to access and use our services.
- You are responsible for safeguarding your account details.
- Administrators (Org Admins and Learning Managers) are responsible for managing access privileges, enrolments, and user roles within their respective tenant workspaces.
3. Data Ownership and Security Boundaries
We prioritize the sovereignty and security of your organization's data:
- Ownership: Your organisation retains all rights, title, and interest in and to any materials, courses, student progress records, and spreadsheet databases (Smart Sheets) uploaded or created within the platform.
- Spreadsheet Security: You control the visibility and write permissions (Can Edit vs View Only) of shared databases. Our database implements Row-Level Security (RLS) policies to keep information strictly isolated within tenant boundaries.
4. Live Seminars and Video Communication
Live video seminar features are integrated using Daily. You agree not to use the classroom communication channel to stream or transmit material that violates applicable local laws, intellectual property rights, or general code of conduct.
5. Acceptable Use and Restrictions
You agree not to:
- Reverse engineer, decompile, or copy the platform interface or service structures.
- Interfere with or bypass RLS constraints or other platform security features.
- Upload malicious code, viruses, or run automated scripts that disrupt platform performance.
6. Limitation of Liability and Disclaimers
Our services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Cohby Consulting Services will not be liable for any indirect, incidental, or consequential damages resulting from data loss, server interruptions, or unauthorized account access.
7. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles. Any legal proceedings related to these terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
